The Site is intended for use by individuals who are at least 18 years of age and who are accessing it for professional purposes. By using the Site, you represent that you meet these requirements.

These Terms govern use of the Site only. Research services provided by 501 Research are governed exclusively by a separate written agreement executed by 501 Research and the client organization (a “Client Agreement”). In the event of any conflict between these Terms and a Client Agreement, the Client Agreement will control with respect to the services it covers.

Subject to these Terms, 501 Research grants you a limited, non-exclusive, non-transferable and revocable permission to access and use the Site for your own informational purposes, including to learn about our services, subscribe to our communications and contact us.

In using the Site, you agree that you will not:

• copy, scrape, crawl, index, harvest or otherwise extract content from the Site or our communications by automated or manual means, including through bots, spiders or data-mining tools;
• use any content from the Site or our communications to develop, train, fine-tune or prompt any artificial intelligence or machine learning system, or to create a competing product or service;
• provide false or misleading information, impersonate any person or entity, or submit information on behalf of another person without authorization;
• transmit any unsolicited commercial communications, malicious code or content that is unlawful, harmful, defamatory or infringing;
• interfere with or disrupt the security, integrity or operation of the Site, or attempt to gain unauthorized access to any account, system or data; or
• use the Site in violation of any applicable law or regulation.

We reserve the right to suspend or restrict access to the Site, in whole or in part, at any time and without notice, including if we believe these Terms have been violated.

The Site and all of its content, including text, graphics, design, layout, the research calendar and the Well Charted newsletter, are owned by or licensed to 501 Research and are protected by United States and international copyright, trademark and other intellectual property laws. Except as expressly permitted in these Terms, no content may be reproduced, distributed, modified, publicly displayed or used to create derivative works without our prior written consent. You may share links to the Site and quote brief excerpts of its content, provided that you attribute them to 501 Research.

“501 Research,” “Well Charted” and our logos and related names and designs are trademarks of 501 Research. You may not use them in any manner that is likely to cause confusion or that suggests our sponsorship or endorsement without our prior written consent.

Materials we provide upon request, including the Research Report Guide, are licensed, not sold, to the requesting individual and their organization solely for internal use in evaluating our services. You may share these materials with personnel of your organization. You may not publish them, distribute them outside your organization or use them to develop competing materials.

Third-party reports and sources referenced in our materials remain the property of their respective owners and are subject to their own terms.

The content on the Site and in our communications is provided for general informational purposes only. It does not constitute legal, financial, tax, fundraising, strategic or other professional advice, and your use of the Site does not create a client relationship with 501 Research.

While we strive to keep the information on the Site accurate and current, we make no representation that it is complete, accurate or up to date, and information may change after publication. The research calendar and similar examples illustrate typical planning periods and sample research questions; they are not deadlines or recommendations for any particular organization.

Service descriptions and pricing referenced on the Site or in our materials do not constitute an offer and are subject to change without notice. The scope, fees and timing of any engagement are established solely in a Client Agreement. You are solely responsible for any decisions you make based on information obtained through the Site.

Submitting a form, sending an email or scheduling a call through the Site does not create any obligation on the part of either party. 501 Research begins work only after a client organization has completed account setup and executed a Client Agreement. Scheduling availability is offered at our discretion, and we may decline or reschedule any appointment.

You represent that any information you submit through the Site is accurate and that you have the right to provide it. Please do not submit confidential, proprietary or sensitive information through the Site; any such information should be shared only after a Client Agreement is in place. If you provide suggestions, ideas or feedback regarding the Site or our services, you grant 501 Research the right to use them without restriction or compensation. Our handling of personal information you submit is described in our Privacy Policy.

The Site and our communications may contain links to third-party websites, reports and services, including sources we cite and platforms we use to deliver communications and schedule appointments. These links are provided for convenience only and do not imply endorsement. 501 Research does not control and is not responsible for the content, availability or practices of any third party, and your use of third-party sites and services is subject to their respective terms and policies.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL 501 RESEARCH OR ITS MEMBERS, MANAGERS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 501 RESEARCH’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you. Liability relating to services is governed by the applicable Client Agreement.

You agree to indemnify, defend and hold harmless 501 Research and its members, managers, employees and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable attorneys’ fees, arising out of or relating to your violation of these Terms or your use of the Site.

These Terms and any dispute arising out of or relating to them or to the Site will be governed by the laws of the State of West Virginia, without regard to its conflict-of-law principles. Before initiating any legal proceeding, you agree to notify 501 Research in writing at contact@501research.com and to attempt in good faith to resolve the matter informally for a period of at least thirty (30) days. Any dispute not so resolved will be brought exclusively in the state or federal courts located in or serving Berkeley County, West Virginia, and you consent to the personal jurisdiction of and venue in those courts.

501 Research may revise these Terms from time to time at its discretion. Revised Terms will be posted on this page with an updated effective date and will take effect upon posting. Your continued use of the Site after revised Terms are posted constitutes your acceptance of them.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not constitute a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; 501 Research may assign these Terms in connection with a merger, acquisition, reorganization or sale of its business. These Terms, together with our Privacy Policy, constitute the entire agreement between you and 501 Research regarding the Site.
